Tilleke & Gibbins helps global leaders and other pioneers in the energy and infrastructure sectors excel in the growing markets of Southeast Asia. We partner with national and multinational clients to ensure appropriate financing, licensing, and ongoing support of major project investments, while assisting with risk management and protection of technological innovation. We also represent the banks and international financial institutions that fund such projects and the contractors that build them.

Our lawyers possess the in-depth knowledge and global perspective necessary to facilitate the movement of capital across borders and the development of projects from planning through execution. We are well positioned to offer expert legal advice on project finance, infrastructure development, joint ventures, contracts, and public-private partnerships. In the energy sector, we act for national and international operators in the petroleum industry, as well as companies focused on new energy technologies and renewables, such as solar power. Our infrastructure experience encompasses large-scale projects including airports, roads, and railways, and we have particular expertise in energy construction. In addition, we have handled a number of technology-centric infrastructure projects.

Our energy and infrastructure practitioners are supported by multidisciplinary teams including experts in finance, commercial transactions and M&A, intellectual property, government relations, anti-corruption, tax, employment, and dispute resolution and litigation.

Our law firm has:

  • Represented a government-owned petroleum company based in the Middle East in the public tender of offshore blocks for oil and gas exploration, including drafting and negotiating Exploration and Production Sharing Agreements.

  • Represented a multinational supplier to the petroleum industry in the establishment of their Thailand operations. In establishing their base of operations in Southeast Asia, we developed a flexible approach to provide for continued growth of the business in the region, and to minimize tax exposure for the company.

  • Advised one of the largest biogas EPC contractors in Thailand on its fuel projects. The client develops, designs, finances, implements, and operates biogas projects, and we act as counsel on the full range of legal matters.

  • Assisted a construction company specializing in wind and photovoltaic power stations to set up their operations in Thailand. Our team advised on BOI approval, including forms of legal entities for the project; relevant tax benefits and ramifications; import duties; customs; employment; licenses for construction and property ownership; government policy; availability of financial facilities; and competition.

  • Advised an engineering, construction, and petrochemical company in its pursuit of a renewable energy opportunity in Thailand. We assisted with land acquisition, contracting, permitting, environmental regulatory matters, financing, and construction contracting.

  • Assisted multinational oil and gas traders with assessing exposure to environmental regulations.

  • Advised a Spanish-German supplier of railstock with respect to government procurement and contracting regulations, and in the development of a tendering and negotiation strategy.

  • Advised a global supplier in the heavy industries sector on various matters relating to the supply and installation of a production platform, bridges, and a flare tower in development of a petroleum concession, with a focus on tax matters (total contract price was approximately USD 1 billion).

  • Assisted an international consultancy providing project management, building surveying, and cost management services for construction and engineering projects in property, regeneration, transport, and industry to establish its regional operations in Southeast Asia.

  • Advised a fully integrated oil and gas conglomerate on various tax matters, arising from the sale and distribution of petroleum products in Thailand, with a focus on tax and corporate restructuring.

  • Assisted a major U.S. oil company in obtaining a license for a 100% foreign-owned enterprise in LPG production in Vietnam.

  • Advised a Hong Kong-based construction company in respect of its work on one of Thailand’s new rail lines.

  • Assisted a major U.S. oil company in negotiations and contracts for a four-party joint venture oil refinery in Vietnam.

  • Represented a major Japanese oil and gas/energy and infrastructure company in joint venture negotiations and licensing of a Liquefied Petroleum Gas (LPG) storage facility project in Vietnam.

  • Advised a fully integrated oil and gas conglomerate on advertising and marketing activities in Vietnam.

  • Represented a US-based defense contractor in respect of its operations in Thailand to produce carbon nanofiber drones.

  • Represented a module builder in Project Zawtika, a natural gas extraction project off the coast of Myanmar (Burma), in its construction of processing platforms and living quarters. These modules were built at a Thai shipyard and are now in use in the field.

  • Assisted a client in developing a telecommunications tower business in Thailand.

  • Advised, assisted, and acted as legal counsel to a leading defense contractor in connection with its expansion stage in Thailand and the region.

  • Represented an American company in tendering for a project to develop Thailand’s new air traffic control system.

  • Assisted a consortium of banks with carrying out due diligence on one of Thailand’s state enterprises, requesting proposals for financing the deployment of its 3G network.

  • Represented a U.S. defense company in negotiating a contract to develop and deploy radar equipment for use by the Royal Thai Air Force.
