Tilleke & Gibbins’ corporate and commercial team in Bangkok assisted a luxury fashion brand in framing and entering into an agreement to buyback a franchise from its Thailand franchisee. The transaction included transfers of preexisting retail stores, assets, and leases to the newly formed Thailand wholly-owned subsidiary of our client.

Our team was engaged to handle all required legal work to facilitate the transaction, including among others, reviewing and amending the buyback contract, negotiating the lease transfer, assisting with company setup and structuring, advising on required licenses and legal compliance, and assisting with closing matters of the transaction. Despite strict time constraints, the deal was completed timely and smoothly with the client expressing high levels of satisfaction in response to the outcome.
