- Assisted a fund management firm in three major projects, including the acquisition of 100% of the shares in a company holding land for hotel development from a foreign seller.
- Assisted a Hong Kong company with a land lease transaction, including contract review and attending meetings and negotiations with the landlord for industrial land.
- Assisted a Thai hotel management company in seven projects under which it will provide management services to hotels, condotel buildings and independently owned villas.
- Assisted in refinancing solar projects in Long An including reviewing and updating the senior facility agreements and relevant agreements for refinancing of the projects with a foreign bank, loan registration with the State Bank of Vietnam (SBV) and the National Registration Agency for Secured Transactions (NRAST), overseeing agreement implementation during project operation.
- Supported financing and SBV registration for near-shore wind projects.
- Advised a foreign investor on financing power projects across Ninh Thuan, Binh Thuan, and Khanh Hoa.
- Provided guidance to tech startups on financing structures, convertible loans, and long-term loan registrations with the SBV.
- Advised a foreign power company in negotiating and finalizing loan and security agreements with two Vietnamese banks.
- Assisted a Thai bank in reviewing the loan agreements with its customers.
- Independently conducted the pre-legal due diligence (LDD) for 8 wind and solar projects in Ninh Thuan and Quang Tri, a hydropower project in Quang Nam with total capacity of 245 MW, and assisted with LDD, drafting and negotiating transaction documents, merger filings, the M&A approval process, completion, integration, and operation of such projects.
- Conducted LDD over two solar farms in Long An with total capacity of about 150 MWp, reviewed and updated the transaction documents (SSA, SHA and relevant agreements), and assisted in closing and operation.
- Conducted LDD and advised on deal structure for potential acquisition of solar and wind farm projects in Ninh Thuan and Daklak with total capacity of 300 MW.
- Advised a Japanese conglomerate with three solar power projects in Vietnam on M&A matters as well as corporate issues in the Vietnamese project companies.
- Acted for a global power and renewable energy company based in the U.K. in investment in three wind and solar projects in Binh Thuan.
- Conducted LDD on two nearshore wind projects in Bac Lieu; conducted LDD for an offshore wind project in Binh Thuan for potential acquisition.
- Conducted due diligence on a water supply operator in the north of Vietnam for a minority acquisition by a leading power and utility provider in Thailand.
- Assisted two investment companies from Sweden and Germany to acquire 51% of the shares of a Vietnamese food processing company.
- Advised and assisted foreign investors on acquiring shares in many manufacturing companies of various products (e.g., chocolate, automotive devices, diapers, marine components).
- Assisted a Singapore-based e-commerce marketplace operator with due diligence, documentation preparation, and filings in relation to its acquisition of/merger with an online classifieds company, a deal that valued the combined company at USD 850 million.
- Assisted Singaporean fund companies in acquisition of start-up companies in Vietnam in various industries (e.g., IT, edutech, fintech).
- Assisted various foreign investors on establishing and advised regulatory compliance of Vietnam-based entities engaged in a wide range of industries including trading, manufacture, IT, warehouse, and advertising.
