Biography

Tan Nhat Truong Phan is an associate with the corporate and commercial team in the firm’s Ho Chi Minh City office. His practice encompasses a wide range of matters, including licensing and corporate formation, labor and employment, and M&A and due diligence.

Tan excels at providing clear, concise advice to the firm’s clients and on issues of Vietnamese law. He has extensive experience assisting foreign companies with establishing and operating businesses in Vietnam across various industry sectors, particularly in life sciences and manufacturing. His work includes advising on complex matters such as intercompany loans, capital arrangement, large-scale restructuring, and aircraft-related interest registrations and repossessions.

Tan gained valuable regional experience during a secondment at a top-tier law firm in Malaysia, where he further honed his skills in corporate and commercial law. Tan is a member of the HCMC Bar Association.


Experience
  • Advised one of the world’s largest global animal health companies on detailed structures and definitive transaction documents for the acquisition of an aqua business and manufacturing site in Vietnam.
  • Advised and assisted a U.K. leasing firm in a high-stakes aircraft repossession case involving four aircraft.
  • Advised a Singaporean investor on a complex cross-border transaction involving the acquisition of equity and assignment of accounts receivable and loans in an IT company in Vietnam.
  • Advised a multinational medical equipment company who had decided to exit the Vietnam market on the process of liquidating its two representative offices and the handling of outstanding commercial obligations to customers and partners prior to liquidation, including addressing the company’s obligations in distribution contracts and hospital tenders, as well as employment agreements with the staff.
  • Advised a U.S. tech titan on numerous commercial issues related to the sale, import, and distribution of its technology products in Vietnam, including extensive advice on labor matters and import of refurbished products.
  • Advised a European pharmaceutical company on steps for handling redundancy due to a restructuring of the company’s Vietnam operations.
  • Assisted a prestigious international university in Vietnam in the investigation of a case of alleged workplace bullying. Investigating this case involved reviewing months of recorded meetings, written summaries from complainants and interviewing 13 individuals. This case also required the review of Vietnamese labor law and internal policies.
  • Assisted a Dutch company in conducting legal due diligence for the potential share acquisition of a foreign-invested company manufacturing spare parts of automobiles and other motor vehicles.
