Biography

Sittiwate is a senior associate in Tilleke & Gibbins’ dispute resolution department in Bangkok. With extensive experience in international law firms and as an in-house counsel, Sittiwate offers clients acute legal insights and know-how and provides businesses with practical, commercial-minded advice. Sittiwate has represented clients in negotiation, complex and high-value commercial litigation, business rehabilitation, labor disputes, white-collar crime cases, and alternative dispute resolution.

He is a key contributor to Tilleke & Gibbins’ capital markets practice, as one of his specialties is advising clients in relation to litigation and investigations in connection with Thailand’s Securities and Exchange Act. He advises listed companies and their directors on their potential liabilities and defends cases regarding M&A transactions, investigates financial fraud, represents clients in inquiries by the Securities and Exchange Commission and Department of Special Investigation in relation to criminal matters involving violations of Thai securities law, and advises on corporate governance and regulatory compliance.

Prior to joining Tilleke & Gibbins, Sittiwate advised clients as an associate at two other leading law firms in Thailand and led the legal department of a company listed on the Stock Exchange of Thailand that invests in food and consumer businesses across Asia. He has particular experience in advising on corporate legal strategy, as well as in local litigation and international arbitration.

Sittiwate holds an LLM in Commercial Law from University of Bristol and an LLB from Thammasat University, and is recognized as a barrister-at-law by the Thai Bar Association.


Experience
  • Advised and represented one of Thailand’s largest media companies in civil, criminal, and labor litigation against former directors and executives in relation to fabricated financial statements.
  • Advised and represented a leading company in hire-purchase and microfinance business in Southeast Asia in a series of litigation, including rehabilitation proceedings at the Central Bankruptcy Court and a civil case in which the client was sued for alleged wrongful acts and avoidance of voidable transactions, with a claim for over THB 8 billion (approx. USD 241.4 million) in damages.
  • Advised a German financial institution on the creditors’ committee of a leading petrochemical company on litigation in defense against a claim of THB 190 billion (approx. USD 5.8 billion) made on the grounds of a tort committed against the company and its shareholders during the reorganization of the company.
  • Advised one of the largest petrochemical companies in Thailand in connection with investigation and litigation in relation to its palm-oil business totaling THB 22.5 billion (approx. USD 727 million).
  • Advised and represented a key player in designing and manufacturing high-quality auto parts in a series of litigation related to the business rehabilitation of the client, including civil and criminal cases lodged by holders of bills of exchange and debentures issued by the client.
  • Advised and represented a leader and pioneer of the Thai and Southeast Asian steel industry in business rehabilitation in the Central Bankruptcy Court, debt restructuring, and arbitration with a major creditor after the rehabilitation petition was dismissed.
  • Advised a global real estate services firm in a criminal lawsuit against the client, its directors, and employees in relation to a fire at a leading commercial bank’s head office.
  • Advised a major roof tile manufacturer in Thailand in several cases in the Administrative Court against the government in connection with an asbestos policy and product labeling requirements.
  • Advised a managing director of a leading Thai state-owned bank as his personal legal advisor in reviewing banking contracts, preparing financial restructuring plans for the bank, implementing public policy assigned by the government, initiating internal rules and regulations, and negotiating labor disputes, as well as regularly attending meetings with the bank’s management team to improve their day-to-day operations.
  • Advised several Thai listed companies on significant M&A transactions, internal investigations, contract negotiations, and resolution of commercial disputes to avoid litigation.
