Biography

Thananya Pholchaniko is an associate in the corporate and commercial department of Tilleke & Gibbins' Bangkok office, where she advises local and multinational companies across a range of industries on a variety of corporate and commercial matters in Thailand. Thananya provides strategic guidance on general business matters, commercial contracts, mergers and acquisitions, company incorporation, data protection, employment, and banking and finance.

As an accomplished corporate and commercial lawyer, Thananya is adept at helping enterprises navigate Thailand’s complex legal and regulatory landscape. Companies rely on her expert legal advice on complex corporate and transactional matters to help them achieve their business goals and mitigate potential risks and challenges.

Prior to joining Tilleke & Gibbins, Thananya handled a variety of corporate, commercial, employment, and banking and finance matters in the Bangkok office of a prestigious regional law firm. Thananya holds an LLB from Thammasat University and an LLM in corporate and commercial law from the London School of Economics and Political Science.

  • Acted as lead counsel to IDX-listed PT Kalbe Farma Tbk., through its subsidiary Kalbe International Pte. Ltd., in its acquisition of a 49% stake in Alliance Pharma Co., Ltd., a leading distributor of medical devices and pharmaceutical products in Thailand.
  • Assisted Thai subsidiaries of a world-leading air cargo and catering equipment manufacturer in conducting legal due diligence for the sale of its shares and assets.
  • Assisted a Singapore-registered private equity fund conducting legal due diligence on the leading boiler service provider in Asia by providing varied legal advice on a shares subscription deal with a total value of USD 3.6 million.
  • Provided advice regarding online gaming questionnaires to a China-headquartered cloud-based platform for creating virtual worlds for gaming, industry, simulations, and other uses.
  • Assisted a Singapore-based fund with reviewing subscription agreements and legal compliance for convertible debentures.
  • Assisted a foreign-invested listed company in Thailand with reviewing its land and machinery mortgage agreements as security for its parent company’s syndicated loan.
