Issarapat Panomvana Na Ayudhya is an associate in Tilleke & Gibbins’ financial services practice in Bangkok, where she advises clients on banking and finance matters, complex financial regulatory issues, and M&A and other commercial transactions.
Issarapat’s clients benefit from her commercial and practical advice, which is shaped by her varied experience in banking and finance, mergers and acquisitions, and broader commercial law. From helping innovative domestic and regional companies access project financing to facilitating major international acquisitions for established companies, she consistently offers solutions that enable companies to achieve their business goals.
Before joining Tilleke & Gibbins, Issarapat spent several years with the Ministry of Foreign Affairs, where she advised various government agencies on a wide range of legal matters, including anti-money laundering, political issues, data protection, consular affairs, diplomatic immunity, and national security. She also has significant experience reviewing agreements, such as construction and lease contracts, for Thai embassies, consulates, and other government agencies.
Issarapat holds an LLB from Chulalongkorn University and an LLM from University College London, and she is a member of the Thai Bar Association.
- Assisted a Thai EV battery company in a project financing matter involving loan funding with a value of THB 750 million.
- Assisted a major energy company in Canada with its acquisition of shares in a US company, with a deal value of USD 1.3 billion, funded by a USD 700 million revolving credit facility and USD 625 million secured notes.
- Assisted a Thai state-owned enterprise in the energy sector in its acquisition of shares of a subsidiary of a major energy company in Thailand.
- Assisted a Singaporean insurtech company with obtaining a Board of Investment (BOI) certificate in the “development of software, digital platform, or digital content” category.
- Assisted a joint venture comprising three major companies in Thailand—a well-known airline, a diversified conglomerate, and a leading engineering and construction company—in relation to a construction and development project for an international airport and associated development zone in Thailand’s Eastern Economic Corridor (EEC).
