Biography

Carole Schertzinger is an energy and infrastructure consultant in Tilleke & Gibbins’ office in Bangkok, with a focus on project development and project financing. She advises various stakeholders on the development, construction, and acquisition of energy projects, particularly in the renewable energy sector (wind, solar, and hydro). In 2024, she was named a Key Lawyer for Energy by Legal 500 Paris.

Carole also has experience working with clients in the infrastructure field, especially in connection with transport-related projects such as airports, ports, roads, and railways. Her practice also includes advising on the regulatory and financing aspects of large-scale projects, and she has strong experience in emerging markets, especially in Africa.

Before joining Tilleke & Gibbins, Carole was a lawyer at an American law firm in Paris and a trainee at various international law firms in Paris, Berlin, and Kuala Lumpur. She holds an LLM from HEC Paris, a Double Master’s in Private and Public Business Law from Panthéon Sorbonne University, and a classe préparatoire degree from Strasbourg University. She is qualified to practice law in France.


Experience
  • Advised on a concession project for the financing, operation, maintenance, expansion, and modernization of seven international airports and three domestic airports in Cape Verde, which entailed advising the sponsor throughout the transaction, in particular during the negotiation and drafting phases of the agreements with the Cape Verdean authorities, as well as on the EPC and financing aspects.
  • Advised a sponsor throughout the development and financing phases of a project for the construction and operation of a 65 MW gas power plant project in Togo, with a total value of approximately EUR 125 million.
  • Advised a consortium in connection with a public-private partnership (PPP) contract for the construction and operation of 14 toll stations on Cameroon's main road axes, which entailed assisting with drafting, negotiating, and finalizing the PPP contract with the Republic of Cameroon, as well as the EPC contract and the O&M agreement.
  • Advised on the negotiation of operation and maintenance arrangements, as well as on various consortium issues, in connection with the construction and operation of a 192 MW hydropower plant in Madagascar.
  • Advised on the development of a 50 MW solar power project in Ivory Coast by assisting the client with the drafting and negotiation of the concession agreement with the state, all regulatory issues, the EPC and O&M legal aspects, and the financing of the project.
  • Advised a sponsor on its acquisition of a stake in a concessionaire of 13 airports in Mexico for a total amount of USD 1.17 billion (including preexisting debt), thereby becoming the largest shareholder in this Mexican airport operator, enabling the sponsor to deploy its long-term partner model to support economic and tourism growth in this high-potential country.
  • Advised one of the world's leading private equity firms in connection with its acquisition of a majority stake in a French pioneer in decentralized solar energy production and energy efficiency, in a transaction valuing the company at EUR 1.4 billion.
  • Advised the winning consortium in a tendering for the award of a 30-year concession for the renovation and operation of the old port of Cannes, France (Vieux Port de Cannes).
