Biography

Tri Phuc Cao Pham is an associate with Tilleke & Gibbins’ corporate and commercial department in the firm’s Ho Chi Minh City office. Tri specializes in assisting foreign investors with their investments in Vietnam, providing strategic structuring for a streamlined investment process, obtaining required licenses in conditional sectors, and advising on day-to-day operations to ensure smooth functioning within a restricted framework. With practical experience in real estate, retail, healthcare, technology, and data, and a close eye on the ever-changing legal frameworks, he identifies and informs clients of risks involved in M&A transactions in these sectors, as well as compliance risks concerning business operations, enabling timely actions.

Tri worked for a Japanese law firm for five years and has extensive training in Japanese law and language. He has gained a deep understanding of the unspoken needs and demands of Japanese and ASEAN clients focusing on the Vietnam market, which ensures his work in complex legal matters not only aligns with international standards but also meets the unique requirements of clients in the region.

Tri is a licensed lawyer with the Ho Chi Minh City Bar Association. He is pursuing a master’s degree in Global Business and Finance Law at the University of the West of England.

  • Advised a Hong Kong investor on acquiring a local Vietnamese company for hotel development and operation, with a deal value of USD 120 million.
  • Advised a Chinese client on acquiring a residential development project with a total land area of 80 hectares.
  • Assisted numerous foreign investors in acquiring industrial land and the attached factories in Bac Ninh, Long An, and Dong Nai provinces, and Ho Chi Minh City.
  • Advised a Japanese medical device manufacturer on the acquisition of shares in a major local dental and medical device producer in Vietnam, with a deal value of USD 8 million.
  • Advised a Japanese healthcare provider on investment cooperation with a local partner for the establishment and operation of a regional children’s hospital in Vietnam.
  • Assisted a Malaysian foreign investor in acquiring 75% shares in a company operating a reputable health check clinic in Ho Chi Minh City.
  • Advised a Japanese investor on the acquisition of a local vegetable wholesaler, with a deal value of USD 3 million.
  • Advised a large stationery manufacturer on leasing industrial land in Long An province, with a deal value of USD 5 million; assisted the investor in negotiating with the local authorities for execution of a strategic deal structure that not only facilitates the setup process but also aligns with the local practices.
  • Advised a foreign-invested security service company on restructuring its local shareholding to ensure complete control of the subsidiary and strict compliance with Vietnamese laws; assisted the company in obtaining all relevant licenses related to the restructure.
  • Advised start-ups on drafting the terms of service and privacy policy for a cloud-based construction management service, and the terms of use and privacy policy for a human resource and attendance management application.
  • Advised a Japanese client on acquiring shares in a local rooftop solar power company and assisted in working with the state authority to verify the legitimacy of the proposed power selling scheme within the restricted framework for rooftop solar power.
  • Advised on the purchase of shares by a foreign investor in a local company doing business in solar power panel distribution.
