Acted as lead counsel to IDX-listed PT Kalbe Farma Tbk., through its subsidiary Kalbe International Pte. Ltd. (“Kalbe”), in its acquisition of a 49% stake in Alliance Pharma Co., Ltd., a leading distributor of medical devices and pharmaceutical products in Thailand.

The Tilleke & Gibbins team for this matter—including Supasit Boonsanong, Prisna Sungwanna, Kobchai Nitungkorn, and Thananya Pholchaniko—was retained to assist the client with the full scope of the transaction, including conducting legal due diligence, reviewing and negotiating the transaction documents (i.e., the Term Sheet, Sale and Purchase Agreement, Share Subscription Agreement and Shareholders Agreement), and assisting with signing as well as all closing and post-closing matters. The deal came to a successful close on June 27, 2024.

With a presence in more than 40 countries worldwide, Kalbe is one of Southeast Asia’s largest public pharmaceutical companies. The successful completion of this transaction further expands Kalbe’s investment portfolio and will help increase market penetration and product availability in Thailand and across other countries in Southeast Asia.
