Biography

Nitikar Nith is an associate in Tilleke & Gibbins’ Cambodia office, practicing in the corporate and commercial group. She assists local and international clients with all aspects of doing business in Cambodia, with a particular focus on market entry, corporate setup, and the ongoing regulatory requirements of businesses operating in the jurisdiction. She has extensive experience in corporate affairs and licensing, commercial transactions, commercial contracts, banking and finance, energy and infrastructure, employment, immigration and real estate.

Nitikar holds a masters degree in Commercial Law and Taxation from the University of Paris 8 Vincennes in Saint-Denis, supplementing her undergraduate law degree from the Royal University of Law and Economics in Phnom Penh, jointly issued by the University of Lumiere Lyon II. She sits on the Board of Directors for the French Cambodian Chamber of Commerce and Industry (2022-2024), and is an executive board member and senior researcher for the Sala Traju Association, which promotes legal education amongst the Cambodian public. She is fluent in Khmer, English, and French.

Experience

  • Represented a client on the provision of a USD 500,000 convertible loan to a Cambodian water authority. Work involved extensive investigations into the holding company and four subsidiary water companies, reviewing and providing extensive input on the loan agreement, and advising on the successful completion of the loan.
  • Advised a European international development agency on the legal framework applicable to rooftop solar in Cambodia and possible structure for investment into solar plants in the country, including representing the client in several discussions with the Electricity Authority of Cambodia.
  • Advised a client on its acquisition of a leading pharmaceutical and healthcare product distribution company in Cambodia.
  • Engaged by an investment fund to advise on and carry out all work related to Cambodian law aspects of its complex acquisition of a school.
  • Advises numerous major international clients on corporate secretarial matters, related to their business in Cambodia, on an ongoing basis.
  • Advised a major international manufacturing industry leader on various aspects of their entry into the Cambodian market.
  • Advised a client on the localization of their work rules, policies, and terms of employment for the Cambodian market.

On November 4, 2021, Cambodia’s Ministry of Mines and Energy (MME) issued a Prakas No. 0305 on Management of the Steam Energy Subsector within the Energy Sector. The prakas aims to regulate steam energy operations, and requires companies wishing to develop, build, install, or operate steam energy to apply for a steam energy license. As this is the first prakas regulating steam energy operations in Cambodia, all relevant companies operating in steam energy must apply for a steam energy license with the MME. Prakas 0305 discusses permits for three types of activities: Development, Construction, Installation, and Operation of Steam Energy. Companies wishing to develop, build, install, and operate steam energy production facilities must first apply for a permit from the MME. Steam Energy Service Provision. Companies wishing to develop, build, install, and operate steam energy for the purpose of supplying steam energy to consumers must apply for a permit for steam energy service provider in addition to a permit for development, construction, installation, and operation of steam energy. Two-in-One Steam Energy and Electricity Production. Companies wishing to develop and operate both steam energy and electricity production activities must also apply for a permit for two-in-one steam energy and electricity production. Companies operating without the necessary permits are subject to a daily fine of KHR 400,000–4,000,000 (approx. USD 100–1,000). In addition, they may face other penalties, including: An order to halt business activities; Permit suspension; Permit revocation; Judicial action; and Other legal measures as the MME deems fit. Published and distributed by Lexology Panoramic, the guide is focused on law and policy regarding foreign investment oversight, regulatory frameworks, procedural requirements, and other notable concerns for foreign investors. The Cambodia chapter was updated by Jay Cohen, partner and director of Tilleke & Gibbins’ Phnom Penh office, and Nitikar Nith, associate. The chapter focuses most closely on the law and policy section, which explains the government’s policies and practices regarding foreign direct investment, the main investment laws and their scope, and the relevant authorities responsible for regulating mergers, acquisitions, and other business transactions. On December 28, 2023, Cambodia’s Ministry of Labor and Vocational Training (MLVT) issued Notification No. 110/23 on the issuance of work permits for foreign employees, in accordance with the country’s Labor Law and Prakas 195 dated August 20, 2014, on work permits and employment cards for foreign employees. This is a more comprehensive notification than existed previously, as it specifically clarifies the parties that are required to apply for work permits and employment cards. Notification No. 110/23 specifies that the following types of foreign individuals must hold a valid foreign work permit and/or employment card in order to work in Cambodia: A foreign employer whose name is stated in an enterprise’s patent tax certificate must hold a foreign work permit. A foreign employee whose name is stated in an enterprise’s patent tax certificate must hold a foreign work permit and an employment card. Self-employed individuals must hold a foreign work permit and an employment card. Applications for work permits and employment cards can be submitted through the MLVT’s online portal, accompanied by the following required documents: Valid passport; Latest patent tax certificate; Physical examination form; and Photo (4×6 cm) However, foreign shareholders and members of the board of directors as defined in the company’s articles of incorporation who do not have a Cambodian resident visa are not required to obtain a work permit or employment card.
