Biography

Saravut Krailadsiri is a partner and head of tax in Tilleke & Gibbins’ tax and corporate restructuring practice in Thailand, where his primary focus is advising clients on taxation, corporate restructuring, and cross-border mergers and acquisitions (M&A). His expertise extends across various practice areas, including corporate transactions, capital markets, and initial public offerings for diverse industries, with particular emphasis on the oil and gas sector. He is ranked as a notable practitioner by Asialaw and IFLR1000.

Saravut provides comprehensive legal and tax counsel, including risk management advice for group restructuring and entire business transfers (EBT). He also offers tax management and planning advice for setting up proper investment entities and development projects in ASEAN countries.

He is also recognized as a legal expert in the oil and gas industry, having represented some of the largest investments in petroleum exploration and production in Thailand. In the property development sector, he advises companies on a wide range of tax structures for real estate acquisitions, covering income tax, withholding tax, VAT, specific business tax, stamp duties, and house and land tax. His extensive experience also covers technology startups and e-commerce, as well as data privacy law.

Saravut holds LLB and LLM degrees from Thammasat University. He is a member of the Thai Bar Association and the Lawyers Council of Thailand.

Experience

Advised Sea Oil PLC. on legal and tax issues regarding the disposal of a 99.99% stake in Sea Oil Petrochemical Company Limited and its subsidiary for THB 256 million (USD 7.74 million).
Represented a leading cable manufacturer in Thailand on its application for operational and tax benefits of the treasury center (TC) and international business center (IBC) schemes, including preparing applications and supporting documents for approvals by the Bank of Thailand and other related government entities.
Represented IT City Public Company Limited in acquiring 100% of the shares in Computer System Connection International Co., Ltd. (CSC) at a total value of THB 346 million (USD 11.1 million).
Advised Chevron Thailand Exploration and Production Ltd. on rules and regulations related to decommissioning matters, regulatory requirements, and their impact on the rights and duties of a concessionaire under petroleum concession agreements.
Represented Krung Thai Asset Management Public Company Limited as a REIT trustee for the launch of WHA Business Complex Freehold and Leasehold Real Estate Investment Trust (WHABT), Thailand’s first-ever office building REIT, worth THB 4 billion (approximately USD 111.1 million).
Advised a multinational technology company on the VAT implications of permanent establishment in Thailand under relevant laws and regulations based on the proposed structure.
Represented Prima Marine Public Company Limited on a restructuring exercise for an investment in a joint venture arrangement and tax planning for the disposal of vessels under the joint venture.
Advised Bangkok Prep International School on land acquisition, restructuring of school license, and various legal and tax matters.
Provided comprehensive legal counsel to a global fintech leader on cross-border e-financing platforms, ensuring compliance with Thailand’s evolving financial regulations.
Structured a joint venture between IRPC and Innobic (Asia) for medical consumables production, addressing intricate regulatory and intellectual property considerations.

Patcharaporn Pootranon joins the firm’s capital markets practice, bringing almost 20 years of experience in capital markets, corporate law, mergers and acquisitions (M&A), and taxation. She has been involved in many significant domestic and international M&A transactions, including securities offerings under Rule 144A/Regulation S under the U.S. Securities Act and under Thai securities law across different industries, including energy, food and beverages, retail, and others. Patcharaporn is ranked in the capital markets practice area by Chambers Asia-Pacific, and she was named one of Asia’s 40 Under 40 by Asian Legal Business in 2018. Joining the firm’s capital markets team alongside Patcharaporn will be Veerakorn Samranweth (senior associate) and Narita Sakunchotikarote (associate). His primary focus for the past two decades has been on tax, corporate restructuring, and cross-border M&A.
